SOFTWARE LICENSE AGREEMENT (EULA)

PREAMBLE

This Software License Agreement ("EULA") for [Software Name/Version] dated [Date] grants LIMITED, NON-EXCLUSIVE license to use software. Acceptance: By clicking "I Accept" or using software, user ACCEPTS all terms per BGB §305 (AGB-Kontrolle). Legal Framework: German UrhG (Urheberrecht), US Copyright Law 17 USC §101-1329, US Patent Law 35 USC §1-376, GDPR 2016/679 (Data Processing), US UCC §2-316 (Warranty Disclaimer).

1. LICENSE GRANT & PERMITTED USE

1.1 Limited License (CRITICAL): Per UrhG §15 (Reproduktionsrecht):
[Company/Licensor] grants NON-EXCLUSIVE, NON-TRANSFERABLE, REVOCABLE license to use software for [personal / business / educational] purposes ONLY
• Installation: Limited to [X computers / unlimited devices] for authorized users within organization
• Usage: Single-user / Multi-user / Organization-wide (specify per license type)
• Duration: [perpetual / X years / subscription / until revocation] per 17 USC §101 (License Scope)
1.2 No Sublicense/Transfer (BINDING): User shall NOT:
✗ Transfer, rent, lease, sublicense, time-share, or share license with third parties per 17 USC §106 (Exclusive Rights)
✗ Use software for service bureau, application service provider (ASP), or software-as-a-service (SaaS) delivery
✗ Permit concurrent use by multiple users beyond authorized scope

2. INTELLECTUAL PROPERTY OWNERSHIP & PROTECTION

2.1 Ownership (ABSOLUTE): Per UrhG & 17 USC:
☑ All software code, algorithms, architecture, source/object/executable forms owned by Licensor or licensors
☑ Documentation, user interfaces, graphics, music, text, audiovisual content owned by Licensor
☑ All patents, copyrights, trade secrets, know-how owned by Licensor per 35 USC §101-103 (Patent Eligibility)
2.2 License Rights (LIMITED): User owns only physical media (CD/drive). License does NOT transfer software ownership or intellectual property rights per UrhG §69a (Computerprogramme)
2.3 Trademark Rights (ABSOLUTE): All trademarks, logos, brand names owned by Licensor. User CANNOT use for any purpose without written consent per Lanham Act 15 USC §1125

3. USAGE RESTRICTIONS (CRITICAL - BINDING)

User SHALL NOT: Per 17 USC §106 (Exclusive Rights):
✗ Reverse engineer, decompile, disassemble, modify, enhance, translate, adapt software per UrhG §95a (Schutzmaßnahmen)
✗ Create derivative works, adaptations, translations (prohibited per 17 USC §103)
✗ Remove, obscure, alter copyright notices, license keys, version identifiers per 17 USC §1202 (Removal of CMI)
✗ Use software for competitive analysis, benchmarking, reverse engineering
✗ Bypass, disable, circumvent copy protection, DRM mechanisms per 17 USC §1201 (DMCA Anti-Circumvention)
✗ Use for commercial timesharing, rental, lease, outsourcing, or public performance per 17 USC §109 (First Sale)
✗ Export, re-export, or transfer software in violation of export controls per EAR (Export Administration Regulations), IEEPA §203

4. WARRANTY DISCLAIMER (AS-IS BASIS)

4.1 NO WARRANTIES (EXPRESS OR IMPLIED): Per UCC §2-316 (Disclaimer of Warranties):
Software provided "AS IS" WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, including:
✗ Merchantability (fitness for ordinary purposes per UCC §2-314)
✗ Fitness for Particular Purpose per UCC §2-315
✗ Non-Infringement of third-party rights
✗ Title (ownership rights)
4.2 Software Condition (USER ASSUMES ALL RISK):
Licensor does NOT warrant:
• Software will meet user's requirements or expectations
• Software will operate error-free, uninterrupted, or secure per GDPR Art. 32 (Security)
• All defects will be corrected or remedied
• Performance, accuracy, or compatibility with third-party systems
• Data loss prevention (user responsible for backups per GDPR Art. 5(1)(f))

5. LIABILITY LIMITATION (CRITICAL PROVISION)

5.1 Liability Cap (ABSOLUTE): Per BGB §536a (Limitation) & UCC §2-719 (Consequential Damages Waiver):
Total cumulative liability = LESSER OF: (a) Amount paid by user for software, OR (b) EUR/USD [100]
If software free: Liability capped at EUR/USD [50] maximum
5.2 EXCLUDED DAMAGES (COMPREHENSIVE): Licensor NOT liable for:
✗ INDIRECT damages: Lost profits, lost revenue, lost business opportunity per UCC §2-719(3)
✗ INCIDENTAL damages: Cost of substitute software, user time
✗ SPECIAL damages: Business interruption, loss of goodwill
✗ CONSEQUENTIAL damages: Lost data, data corruption, data recovery costs
✗ PUNITIVE damages: Penalties, treble damages
✗ PERSONAL injury or property damage
• Exclusion applies even if Licensor advised of possibility per UCC §2-719(4)

6. TERMINATION OF LICENSE

6.1 Automatic Termination (IMMEDIATE): Per 17 USC §106:
License immediately terminates if user violates ANY restriction above per BGB §326 (Extraordinary Termination)
No notice required - violation = automatic termination
6.2 Upon Termination/Expiration (MANDATORY): User must:
✓ Immediately cease all use and access
✓ Uninstall/delete/destroy all copies of software (all backups, archives, cached versions)
✓ Return/destroy physical media per UrhG §97 (Entschädigung)
✓ Certify destruction in writing (within 30 days)
6.3 Survival (POST-TERMINATION): Sections 2 (IP), 4 (Disclaimers), 5 (Liability Limitation) survive indefinitely

7. PRIVACY & DATA COLLECTION (GDPR COMPLIANCE)

7.1 Data Processing (TRANSPARENT): Per GDPR Art. 13-14:
Software may collect: Usage data, diagnostic information, crash reports, system information, IP addresses, unique device identifiers per Art. 4(11) (Personal Data)
• Collection method: Automatic, mandatory (cannot opt-out)
• Lawful basis: User consent (= acceptance of Terms) per Art. 6(1)(a)
• Purpose: Analytics, product improvement, security, compliance
7.2 Privacy Policy Incorporated: Privacy Policy at [URL] incorporated by reference per Art. 13(2)(c)
User acceptance of this EULA = acceptance of Privacy Policy

8. UPDATES, PATCHES & MAINTENANCE

8.1 Updates (AT LICENSOR DISCRETION):
Licensor may, but is NOT obligated to, provide updates, patches, security fixes per GDPR Art. 32 (Security Updates)
• Updates may be automatic or user-initiated (per [Licensor policy])
• Updates may include features, security patches, bug fixes, or functionality changes
• User agrees updates may cause incompatibilities with third-party software
8.2 No Guarantee of Continued Support: Licensor may discontinue support/updates at any time without notice per UCC §2-316

9. COMPLIANCE & ENFORCEMENT

9.1 Audit Rights (LICENSOR): Licensor may audit user's use of software to verify compliance with this EULA per BGB §202 (Beweislast)
9.2 Breach Consequences: Violation = immediate termination + ALL REMEDIES:
• Injunctive relief (court order to cease use) without posting bond per 17 USC §502 (Injunctive Relief)
• Statutory damages: EUR/USD [X per violation] per 17 USC §504
• Attorney fees and costs per 17 USC §505
• Criminal prosecution for willful infringement per 17 USC §506 (Criminal Penalties)

10. APPLICABLE LAW & DISPUTE RESOLUTION

Applicable Law: German Law (UrhG, BGB) OR US Law per jurisdiction | Venue: German or US Courts (per [jurisdiction clause]) | Waiver of Jury Trial: Both parties waive jury trial per 28 USC §1332

CRITICAL EULA POINTS - BINDING: License NON-EXCLUSIVE, NON-TRANSFERABLE, REVOCABLE per UCC §2-316. NO WARRANTIES - AS IS per UCC §2-315. Liability CAPPED (or EUR 100 max) per BGB §536a. Termination IMMEDIATE on violation per BGB §326. IP ABSOLUTE - user owns only media per UrhG §69a. Export controls MANDATORY per EAR. No reverse engineering/decompilation per 17 USC §1201 (DMCA). Data collection AUTOMATIC (consent required) per GDPR Art. 6(1)(a). Audit rights RESERVED for Licensor. Breach = injunctive relief + statutory damages per 17 USC §502-506.
