RETAINER AGREEMENT FOR PROFESSIONAL SERVICES

PREAMBLE

This Retainer Agreement dated [Date] between [Service Provider/Firm] and [Client] engages Provider for ONGOING [legal/accounting/advisory/consulting] services on recurring basis. 1.1 Monthly Retainer (FIXED FEE): Per BGB §611 (Honorar):

✗ Expert testimony / depositions
✗ Negotiations with third parties (outside scope)

✗ Complex tax planning / structuring
2.3 Scope Modifications (WRITTEN AMENDMENT REQUIRED): Per BGB §305c:
Any scope changes require written amendment signed by both parties specifying:
• New services to be added
• Adjusted retainer amount or additional hourly rate
• Effective date of modification

3.1 Initial Term (START DATE SPECIFIED): Per BGB §621 (Kündigung):

Provider maintains STRICT CONFIDENTIALITY of all Client information, materials, communications per professional standards
• Privilege applies to legal/tax advice per BGB §203
• Provider NOT to disclose without Client written consent
5.2 Work Product Ownership (ALL DELIVERABLES TO CLIENT): Per BGB §631:
All work product, documents, memoranda, opinions, analyses created FOR CLIENT are owned by CLIENT per UrhG §43 (Work-for-Hire)
5.3 Provider IP Retention (PRE-EXISTING METHODOLOGIES): Per UrhG §7 (Ownership):
Provider retains all rights to pre-existing methodologies, templates, frameworks, processes developed independently (not specifically for Client)

6.1 Availability (SERVICE LEVELS):
Provider available: [during business hours Mon-Fri 9am-5pm / 24/7 emergency line]
• Routine matters: Response within [1 / 2 business days] per BGB §611a
• Urgent matters: Response within [same business day] (define "urgent")
6.2 Response Time (COMMITMENT): Per BGB §611:

✗ Indirect damages: Lost profits, lost revenue, lost business opportunity

✗ Consequential damages: Business interruption, loss of goodwill
✗ Punitive damages
7.3 Indemnification (CLIENT INDEMNIFIES PROVIDER): Per BGB §280:
Client indemnifies Provider from all claims, damages, costs arising from Client's misuse of advice or documents

8.1 Scope Modification Process (CLIENT REQUESTS OUTSIDE SCOPE): Per BGB §631(3):
If Client requests services OUTSIDE agreed scope, Provider may:
(a) Accept within existing retainer (if hours available) - no charge
(b) Agree to add services via written amendment - retainer increases OR separate hourly invoicing
(c) Decline scope expansion - retainer unchanged
8.2 Change Order (WRITTEN AMENDMENT REQUIRED): Per BGB §305c:
Any scope modification requires WRITTEN CHANGE ORDER signed by both parties specifying:
• New services description
• Additional retainer amount or hourly rate
• Effective date
• Impact on timeline/deliverables

9.1 Professional Standards (ADHERENCE REQUIRED): Per BGB §636 (Professional Conduct):
Provider shall perform services in accordance with applicable professional standards (attorneys, CPAs, consultants)
9.2 Errors & Omissions Insurance (OPTIONAL):
Provider maintains professional liability insurance of EUR/USD [X million] (if applicable)
