AFFILIATE PROGRAM AGREEMENT

Commission-Based Marketing | Performance Marketing | Revenue Share | Independent Contractor | Fraud Prevention

PREAMBLE

This Affiliate Program Agreement dated [Date] between [Company/Merchant] and [Affiliate] permits Affiliate to promote Company's products/services and earn commission on referred VERIFIED sales per German BGB §611a (Independent Contractor). Legal Framework: US IRC §162 (Business Deduction), IRC §6041 (1099-NEC Reporting), FTC Act §5 (Unfair/Deceptive), CAN-SPAM §7704, Lanham Act §1125, US Fraud Act 18 USC §1001.

1. AFFILIATE RELATIONSHIP & INDEPENDENT CONTRACTOR STATUS

1.1 Status (CRITICAL): Per BGB §611a:
Affiliate is INDEPENDENT CONTRACTOR (NOT employee, partner, authorized agent, or joint venturer)
• No employment benefits: health insurance, 401k, vacation, workers comp per IRC §3401
• No taxes withheld by Merchant
• Affiliate responsible for own taxes, insurance, legal compliance
• Affiliate may promote competitor products (no exclusivity unless written agreement)
1.2 Promotional Rights (LIMITED): Affiliate may promote Company products/services via:
✓ Website, blog posts, email lists, social media, paid ads, affiliate networks, reviews per FTC §5 (Endorsement Guides)
• Affiliate uses unique tracking link/code/ID provided by Company to identify referred customers
1.3 No Authority to Bind: Affiliate NOT authorized to:
✗ Enter into contracts on Company's behalf per BGB §167 (Vollmacht)
✗ Modify Company terms, promises, or obligations
✗ Represent Company in disputes or negotiations

2. COMMISSION STRUCTURE & PAYMENT TERMS

2.1 Commission Rate (VERIFIED SALES ONLY): Per IRC §162 (Reasonable):

3. MARKETING GUIDELINES & COMPLIANCE (STRICT ENFORCEMENT)

3.1 PERMITTED Promotional Methods (ONLY): Per FTC §5(a) (Unfair/Deceptive):
✓ Honest product reviews / testimonials (truthful per FTC Guidelines)
✓ Blog posts, articles, comparison guides (factual only)
✓ Social media posts with CLEAR DISCLOSURE of affiliate relationship
✓ Email campaigns to opt-in subscribers (NOT spam per CAN-SPAM §7704)
✓ Paid search/social ads (with FTC-compliant disclosure like "Affiliate Link" or "#ad" per FTC Endorsement Guides §255)
3.2 PROHIBITED Practices (ZERO TOLERANCE): Per FTC §5(a):
✗ Misleading/false claims about products (violation = FTC fine up to USD 43,792 per day per §45(m))
✗ Spam, unsolicited emails (violation = CAN-SPAM penalty up to USD 43,280 per email per §7704(d))
✗ Trademark bidding without written approval per Lanham Act §1125
✗ Cookie stuffing, click fraud, bot traffic, domain spoofing per 18 USC §1001 (Fraud)
✗ Misleading paid search ads
✗ Using Company logo/brand without written approval per Lanham §1125(c)
3.3 Disclosure (MANDATORY): Affiliate must clearly disclose affiliate relationship in ALL promotions per FTC §5(a):
• Text: "I may earn commission if you purchase through my link" OR "#ad" OR "Affiliate Link"
• Visibility: ABOVE the link (not fine print)

4. TERM, RENEWAL & TERMINATION

4.1 Initial Term: [12 months] starting [date] per BGB §621
4.2 Renewal & Auto-Renewal:
• Auto-renews for additional [12-month] periods unless terminated with [30 days] written notice per BGB §621(1)
4.3 Termination Rights:
• Either party may terminate with [30 days] notice for ANY reason (no cause) per BGB §621(1)
• IMMEDIATE termination for: fraud, misrepresentation, spam, cookie fraud, click fraud, trademark violations, misleading advertising, compliance violations per BGB §626 (Wichtiger Grund)
4.4 Commission on Termination (FINAL PAYMENT):
Affiliate paid all earned commission through termination date per ZahlVerzG
• Final payment within [30 days] of termination notice

5. FRAUD PREVENTION & VERIFICATION

5.1 NO FRAUD (STRICT COMPLIANCE): Per 18 USC §1001 (Fraud and False Statements):
Affiliate SHALL NOT engage in: click fraud, cookie stuffing, pixel stuffing, domain spoofing, bot traffic, false conversions, incentivized clicks (paying users to click), or other fraudulent practices per 18 USC §1341 (Mail Fraud)
5.2 Fraud Detection & Consequences (ZERO TOLERANCE):
• Detection = IMMEDIATE termination + forfeiture of unpaid commissions per BGB §626
• Potential civil liability for damages per BGB §823
• Criminal prosecution for willful fraud per 18 USC §1341-1343
5.3 Affiliate Tax Compliance (SELF-RESPONSIBLE): Per IRC §6041:
• Affiliate responsible for own tax compliance
• Company issues 1099-NEC (US) OR business records (EU) if applicable per §6041(a)
• Affiliate may be subject to backup withholding per IRC §3406
5.4 Audit Rights (RESERVED): Company may audit Affiliate traffic, conversions, attribution for fraud detection per BGB (Audit Right)

6. INTELLECTUAL PROPERTY & BRAND USAGE

6.1 Company IP (STRICT LIMITATIONS): Per Lanham Act §1125:
Affiliate may use Company-provided materials (logos, banners, product images, descriptions) ONLY as provided, for promotion per Company guidelines
✗ Cannot modify, adapt, create derivative materials from Company IP
✗ Cannot use Company trademarks independently per Lanham §1125(a)
6.2 Affiliate Content (AFFILIATE RETAINED): Per UrhG:
Affiliate retains rights to original promotional content (articles, reviews, posts)
• BUT grants Company perpetual, royalty-free, worldwide license to use/modify Affiliate content for Company benefit per UrhG §31

7. LIABILITY & REPRESENTATIONS

7.1 Affiliate Warranties (BINDING): Affiliate represents:
✓ Authority to enter agreement without third-party consent
✓ No conflicts with employment agreements, non-competes, or other obligations per BGB §307
✓ All promotional claims accurate, honest, not misleading per FTC §5
✓ Compliance with all applicable laws (FTC, CAN-SPAM, Lanham, copyright)
7.2 Indemnification (AFFILIATE BEARS RISK): Per BGB §280 (Schadensersatz):
Affiliate indemnifies Company from all claims, damages, costs arising from Affiliate's promotional activities, fraud, or violations per FTC §5

8. APPLICABLE LAW & DISPUTE RESOLUTION

Applicable Law: German Law (BGB) OR US Law (per jurisdiction) | Venue: German or US Courts per [jurisdiction clause] | Governing Jurisdiction: [Country] per BGB §7-38 (Int'l Private Law)
